Company Names in Thailand

As the title of this video suggests, we are discussing Company names or Corporate names here in the Kingdom. 

What are we talking about? Well we are talking about folks who go ahead and set up a business or have an ongoing business here in the Kingdom. They wish to go ahead and incorporate an entity here, probably a Limited Company and they want to go ahead and name that Company. There are some things you have to deal with with respect to Company names, most notably you can't have a Company name that is the same as someone else's. 

If you go to section 1115 of the Thai Civil and Commercial Code, you will find the following: Quoting directly in English; this is a translation, the Thai language is controlling. This translation and this video is being made for informational purposes only. It should not be viewed as a definitive explanation or interpretation of Thai Law on the matter. Quoting directly: "If the name inserted in a memorandum is identical with the name of an existing registered company, or the name inserted in the registered memorandum or so nearly resembling the same as to be likely to deceive the public, any interested person can enter a claim for compensation against the promoters of the Company and can ask for an order from the court that the name be changed. Upon such an order being made, the new name must be registered in the place of the former name and the certificate of registration must be altered accordingly."  

So clearly there are substantial ramifications for, for lack of better term, improperly naming a company here in Thailand. 

The thing that should be taken away from this video is when incorporating an entity it is a good idea to retain legal professionals who can go ahead and assist in figuring out whether or not a name is in fact available so as to be able to basically forestall this from happening, where you basically end up with a situation where possibly you have a name that is the same as another company's pre-existing name and thereby resulting in court costs presumably, as well as possible compensation. 

So it is probably a good idea to go ahead and contact a legal professional in order to ascertain whether or not a Corporate name is going to be available in Thailand for use in running ones business.
