How Many Shareholders Do Thai Companies Need?

As the title of this video suggests, we are discussing companies in Thailand, specifically shareholder requirements. I thought of making this video after reading recent article from the Pattaya Mail, pattayamail.com, the article is titled: The ever-changing world of Thai Work Permits for foreigners. Quoting directly: "Where the foreigner intends to start his own registry company to trade in Thailand and beyond, the first steps are to register a company name with the Business Development Agency, have at least three Thai shareholders" (and then in parentheses quote: "(can be fewer in some circumstances)" end parentheses I will get back to that in a minute, quoting further: "have capital of at least 2 million baht, and notify the Thai Labour and Tax Department's." 

Well a couple of things here. Regarding, "can be fewer in some circumstances". No it can't. Not for Limited Companies. Thai Limited Companies, as of the time of this video it is required that Thai Limited Companies maintain three shareholders. I am not trying to call anybody out on this. I think what is meant to be said in here is that there are other types of entities in Thailand, things like partnerships which do not necessarily need more than two people or even a sole proprietorship. The issue with respect to that is those are not particularly useful entities to foreign nationals because a Work Permit is generally needed in order to operate a given concern and the only way to go about getting that is through a Limited Company structure. Now in the past, there was a little bit more room to maneuver with respect to that issue. That has gone by the wayside. If you want to deal with a Work Permit in Thailand you are going to be looking at dealing with a corporate structure and that corporate structure is going to be looking like a Limited Company and yes, the requirement as of the time of this video for any Limited Companies in Thailand is three shareholders. Again, that doesn't apply to things like partnerships which I think was meant here but again partnerships are not very relevant to foreigners doing business in Thailand because Work Permits are not generally available to such entities and therefore foreigners don't really operate under such entities. 

So the thing to take away from this video is yes indeed, three is the minimum number of shareholders that are required in order to form a Limited Company here in the Kingdom of Thailand.
