Thai Corporate Compliance: Shareholder and Director Meetings?

As the title of this video suggests, we are discussing corporate, well basically corporate law, corporate compliance here in Thailand and the issue of shareholders and director meetings. 

Yes, Thailand utilizes what some in other jurisdictions might call kind of an anachronistic sort of way of doing corporate law. I wouldn't say that that's fair, but the best way to analogize in my mind what Thai Corporate Law looks like compared to for example American Corporate Law, basically Thai Companies are the equivalent of what we would call CCorps back in the United States and part and parcel of that posture, that legal posture, of these type of entities, is the fact that yes, you need to deal with shareholder and director meetings. 

There are certain formalities associated with meetings of the relevant stakeholders in a given business that must be maintained on a regular basis for if nothing else, for ongoing filing of things like audited financial statements and balance sheets associated with corporations. So yeah, they are just necessary and dealing with that stuff, frankly, we do a lot of corporate work here in the office. We process a lot of paperwork for our clients, for their companies as well as for the Business Visas and Work Permits that come with them. And again yeah, it's a little bit, to folks that are used to deal with like LLC or LTD structures in other jurisdictions, the sort of legal entities in Thailand that most people do business through, most notably limited companies, may look a little more cumbersome. But that said, it's just the way that we have to deal with them here. We have to deal with shareholder meetings; we have to deal with director meetings. Again depending on what the subject matter of the meeting is, it may be required that it be one or the other. 

That being said, some of this can seem a little bit overwhelming and for those looking to do business here in Thailand, it may not be a terrible idea to contact a legal professional, gain some insight and guidance into how best to proceed.
