Thai Corporate Secretarial Services: Shareholder and Director Meetings?
Transcript of the above video:
As the title of this video suggests, we are discussing corporate secretarial services. We assist a number of clients in setting up companies as well as maintaining a corporate presence here in Thailand, especially for small and medium sized enterprises, so-called SMEs.
I particularly myself like to assist small entrepreneurs getting set up over here in Thailand. There are various benefits, depending on nationality as well, that may accrue to a given individual wanting to do business here in Thailand. For example Americans can avail themselves of the provisions of the US-Thai Treaty of Amity and own Thai corporations 100%. Notwithstanding that, there are also other provisions under the Foreign Business Act that may allow certain individuals to do business under certain circumstances even if they are foreign, but again they may have to set up under a 49/51 sort of rubric. There may be other concessions to be gained under the Board of Investment here in Thailand as well as the Eastern Economic Corridor, a body that may be able to bring concessions as well.
But long story short, all corporate entities here in Thailand are going to need corporate secretarial services including for things like shareholder and director meetings. This can be an important service that needs to be fulfilled, especially for foreign nationals here. It can have an impact on Business Visa and Work Permit applications as timely filings of such documentation must be maintained in order to keep one's Visa and Work Permit updated.
So the thing to take away from this video and understand is that yes, corporations here in Thailand do operate much more under a C-Corp if you will sort of rubric in the American corporate vernacular, as opposed to thinking of them as LLCs, it's more appropriate to think of them more like a C-Corp and yes, they do have certain corporate secretarial services that need to be maintained in order to maintain the corporation and keep it in compliance with relevant Thai law in order to maintain Business Visa and Work Permit status as well; so that's something to keep in mind. We do provide these services here at our firm.
Those who feel a bit overwhelmed about the notion of setting up their own company in Thailand, may want to contact a legal professional, gain some insight and guidance into how best to proceed.
